Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "Customer") and SilverOak Commerce LLC, a Pennsylvania limited liability company with its registered office at 1023 Forbes Ave, Pittsburgh, PA 15219 ("SilverOak", "we", "us", or "our"). By accessing silveroakbeauty.com (the "Site"), creating an account, submitting a review, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract under U.S. law. By placing an order you represent that the payment method and shipping address you provide belong to you or that you have express authorization to use them.

2. The products

SilverOak sells personal-care electronics, currently the SilverOak PDT Light Therapy Mask and the SilverOak 5-in-1 Multi-Styler. Our products are cosmetic personal-care devices, not medical devices. They are not intended to diagnose, treat, cure, or prevent any disease. Read the safety guide included with each device before first use. Consult a qualified physician before use if you are pregnant or nursing, have a photosensitive condition (lupus, porphyria, photosensitive epilepsy), are taking photosensitizing medication (including isotretinoin), have an implanted electronic medical device, or have any active skin condition or wound in the treatment area.

3. Orders, pricing, and acceptance

• All prices are listed in U.S. dollars and exclude applicable sales tax, which is calculated at checkout.
• Product listings constitute an invitation to treat, not an offer. Your order is an offer to buy at the listed price. We accept your offer when we send the order-confirmation email — that is when the contract is formed.
• We reserve the right to refuse, limit, or cancel any order — including after acceptance — for reasons such as suspected fraud, pricing errors, product unavailability, shipping restrictions, or violation of these Terms. Where we cancel, we issue a full refund within 3 business days.
• Promotional codes are single-use unless stated otherwise, non-transferable, and cannot be combined with other offers.

4. Payment

We accept Visa, Mastercard, American Express, Discover, Diners Club, JCB, PayPal, Apple Pay, and Google Pay, processed through Stripe, Square, and PayPal. Your card is charged at the moment your order is accepted. You authorize SilverOak and its payment processors to charge the agreed amount, including taxes and shipping upgrades you select. If a chargeback is initiated without first contacting our support team and giving us a reasonable opportunity to resolve the issue, we reserve the right to dispute the chargeback and to suspend future orders from the associated account.

5. Shipping and risk of loss

Shipping terms are described in detail on our Shipping page and incorporated here by reference. Title and risk of loss pass to you at the point of carrier handover. Delivery dates are estimates, not guarantees, and we are not liable for delays caused by the carrier, weather, or force-majeure events.

6. Returns and warranty

The Returns & Refunds page and the Limited 12-Month Warranty set out your rights and our obligations and are incorporated into these Terms by reference. Nothing in these Terms excludes or limits your non-waivable consumer rights under applicable state law.

7. User accounts (admin)

If you create an admin account you must provide accurate, current information and keep your password confidential. You are responsible for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for breach of these Terms, suspected fraud, or extended inactivity.

8. User-generated content (reviews, photos)

When you submit a review, photo, or other content ("User Content"), you grant SilverOak a worldwide, non-exclusive, royalty-free, sub-licensable, perpetual license to host, store, reproduce, adapt, publish, translate, distribute, and display the User Content on the Site, in our marketing materials, and on our official social-media channels. You represent that the User Content is yours or that you have all necessary rights, that it is accurate, and that it does not infringe any third party's rights or violate any law. We may moderate, edit lightly for typos, or remove User Content at our discretion — particularly content that is defamatory, obscene, threatening, off-topic, or commercial spam.

9. Intellectual property

All content on the Site — including the SilverOak name and logo, product photography, copy, illustrations, design system, and underlying code — is owned by or licensed to SilverOak Commerce LLC and is protected by U.S. and international copyright, trademark, and trade-dress laws. You may not copy, reproduce, republish, distribute, sell, or create derivative works of any Site content without our prior written permission, except that you may save and print one copy of any page for personal, non-commercial use.

10. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Resell SilverOak products outside the United States or through unauthorized channels (Amazon, eBay, Walmart Marketplace, etc.) without our prior written consent.
• Use bots, scrapers, or other automated means to access the Site, except for compliant search-engine crawlers.
• Attempt to gain unauthorized access to any portion of the Site, account, or server, or interfere with security features.
• Upload viruses, malicious code, or content that infringes third-party rights.

11. Disclaimers

THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SILVEROAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. Individual results from our devices vary based on skin type, hair type, frequency of use, and adherence to the included instructions.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SILVEROAK, ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR THE PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO A PRODUCT IS LIMITED TO THE PRICE YOU PAID FOR THAT PRODUCT. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

13. Indemnification

You agree to indemnify and hold harmless SilverOak and its officers, directors, employees, and agents from any claim, loss, liability, demand, or expense (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the products, or (c) any User Content you submit.

14. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Any dispute not resolved by good-faith negotiation within 30 days will be submitted to binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Allegheny County, Pennsylvania. You and SilverOak waive any right to a jury trial and to participate in a class action. You may opt out of arbitration by emailing support@silveroakbeauty.com with "Arbitration Opt-Out" in the subject line within 30 days of first accepting these Terms; in that case disputes will be heard exclusively in the state or federal courts located in Allegheny County, Pennsylvania.

15. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, labor actions, supply-chain disruption, carrier delays, or governmental action.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the Site at least 14 days before they take effect. Continued use of the Site after the effective date constitutes acceptance.

17. Miscellaneous

These Terms, together with the Privacy Policy, Shipping Policy, and Returns & Refunds Policy, constitute the entire agreement between you and SilverOak. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms; we may assign them to a successor in connection with a merger or acquisition.
